Assistant Manager Legal

The role holder is responsible for supporting the Legal Department in day-to-day operations, including managing the contract lifecycle, ensuring regulatory compliance, providing legal advisory for business projects, drafting, reviewing and negotiating contracts and assisting in dispute resolution. The role requires close coordination with internal stakeholders and external counsel to identify, assess, and mitigate legal risks. This position is suited for a legal professional with strong drafting and analytical skills and to attention to detail, aiming to gain broad exposure under the guidance of senior legal team members. The role holder plays a key part in maintaining legal compliance, improving operational efficiency, and enabling business growth within a sound legal framework. Section II: Key Responsibilities Support legal counsel in providing practical legal advice, written opinions, and risk assessments across ARM Holding’s operations. Assist in reviewing business operations and initiatives to ensure compliance with applicable laws and regulations, supporting informed and strategic decision-making. Contract and Transaction Management Draft, review, and negotiate a broad range of commercial agreements including those with tenants, vendors, agents, brokers, service providers, sponsoring entities, consultants, contractors, and financial institutions. Support real estate and development transactions, including due diligence, documentation, and coordination for closings processes. Provide legal input on land/property sale deeds, lease agreements, and related transactional documents. Liaise with internal teams to resolve contract queries and ensure alignment with business objectives. Legal Documents and Intellectual property Maintain, update, and standardize legal templates in line with applicable laws and commercial needs. Draft and review legal documents, correspondence, and notices to ensure legal compliance and mitigate risk. Oversee legal records management, including trade/commercial license renewals. Assist in managing the group’s intellectual property portfolio, including trademark and domain names. Regulatory Compliance Monitor applicable laws and regulations relevant to the company’s operations, particularly in land development, corporate law, and UAE labor law. Communicate legal and regulatory updates to internal teams and assist with implementation to ensure ongoing compliance. Support the HR team on matters related to UAE employment laws and internal policies. Assist in managing disputes and litigation involving the company. Coordinate with external legal counsel, track case progress, and ensure timely resolution of legal matters Contribute to strategies aimed at reducing legal risk and exposure through proactive legal support. Company Formation and Corporate Governance Assist in the establishment of new legal entities within the group, including assistance in preparation of incorporation documents. Assist in establishing JVs and other strategic partnerships. Support adherence to corporate governance requirements and internal policies. Assist with legal compliance related to board meetings, documentation, and statutory filings. Coordinate with external law firms for specialized legal matters and due diligence activities. Monitor vendor performance to ensure timely and high-quality legal deliverables, escalating concerns where necessary. Section III: Qualifications, Experience & Skills Bachelor’s degree in law or a related field. Master's degree is preferred. Experience: Minimum 10 years post qualification experience as an in-house legal counsel or at a Law Firm, with the Real Estate industry. Strong experience in real estate law and industry knowledge that includes, construction, real estate, hospitality, lease transactions, property management, and sales and purchase transactions. Skills: Extensive knowledge of the UAE legislation and legal framework. Extensive knowledge in corporate governance / compliance. Excellent attention to detail and critical thinking skills. Excellent communication and interpersonal skills. Strong negotiating and influencing skills. Strong business and commercial acumen. Acute financial, risk management and legal acumen. Excellent decision making and analytical skills. Strong communication skills. Arabic is advantageous.
