We are one of the most profitable companies in the world, as well as amongst the top five global companies by market capitalization.Job PurposeWe are seeking an attorney ("Counsel") with experience in matters pertaining to commercial and corporate governance, particularly with respect to providing corporate secretarial support for executive teams and boards of directors. Headquartered in Dhahran, Saudi Arabia, Counsel will join the Aramco Secretariat & Governance Legal Practice within the Law Organization's Corporate Secretariat function. In this role, Counsel will support the Corporate Secretary and Assistant Corporate Secretary in organizing and managing board and board committee meetings (i.e. setting agendas, reviewing and drafting papers, presentations, minutes and resolutions), providing guidance and advice on corporate governance matters, and handling a broad spectrum of related matters that confront a global energy company. Saudi Aramco's Law Organization is growing in response to a broad corporate initiative that involves the continued growth of its exploration, production, refining and marketing, along with expansion into petrochemicals, renewables, power and other sectors of the energy business.   • Support the Corporate Secretary (the EVP & General Counsel) and Assistant Corporate Secretary (VP & Associate General Counsel) in organizing and managing board and board committee meetings;
  • Drafting and revising agendas, papers, presentations, minutes and resolutions for executive management and the board of directors;
  • Provide related committee support;
  • Liaising with business teams, attorneys and legal professionals around the globe to create, revise and finalize materials for board and board committee meetings;
  • Advise as to board authority questions and corporate governance matters;
  • Advise as to shareholder issues;
  • Provide other necessary board support, as may be required.
Education & Experience Requirements
  • Currently licensed, admitted to practice, and in good standing in the United States, Canada, England & Wales, the European Union, or an equivalent jurisdiction;
  • 6+ years of experience with a strong law firm, large corporation, or other sophisticated business organization;
  • General corporate experience providing legal advice and support to senior management and/or a board of directors;
  • Attention to detail, excellent teamwork, negotiation and communication skills; and
  • Experience leading, teaching, and mentoring.
  • Energy industry (oil and gas, petrochemical, power or oil field services), public company and international experience are a plus.
  • Special focus will be given to candidates with experience serving as a corporate secretary.
