We are one of the most profitable companies in the world, as well as amongst the top five global companies by market capitalization.Job PurposeWe are seeking an experienced attorney to join the JV Development Legal Practice in the Project Development & Finance Law Department of the Saudi Aramco Law Organization as [Senior Counsel].The Law Organization at Saudi Aramco is responsible for providing legal counsel and advisory services to Saudi Aramco's business units, subsidiaries, and joint ventures. The JV Development Legal Practice within the Law Organization is responsible for, among other matters, advising on, negotiating, and documenting Saudi Aramco's project development and joint venture transactions. The [Senior Counsel's] primary role is to lead the legal activities with respect to the development and implementation of joint ventures, including the structuring, negotiation, and documentation of such transactions. As part of the responsibilities, the [Senior Counsel] will also advise Saudi Aramco Management and internal clients with respect to Saudi Aramco's legal rights and obligations, agreements, and common statutory or similar processes in connection with such transactions. The [Senior Counsel] will also liaise and work with other attorneys in the Law Organization, as it relates to tax, antitrust, capital markets, and foreign direct investment. In addition, the [Senior Counsel] will engage and manage outside counsel on a cost-effective basis. The [Senior Counsel] will report to the Practice Leader of the JV Development Legal Practice. While the position is based in Dhahran, this is a global practice and requires commensurate travel.ResponsibilitiesYou will be required to perform the following:
- lead the legal activities with respect to the development and implementation of project development and joint venture transactions, including the structuring, negotiation, and documentation of such transactions;
- advise Management and internal clients with respect to Saudi Aramco's legal rights and obligations, project contracts and agreements, and common statutory or similar requirements in connection with project development and joint venture transactions;
- assist Law Management and other attorneys in marshalling and examining the law and facts pertinent to legal problems; and
- liaise and work with outside counsel to negotiate and document transactions on a cost-effective basis.
- demonstrable experience working directly with the clients from transaction inception to completion;
- hands-on experience with structuring, drafting, negotiating and leading large project development transactions in a first or second chair capacity;
- experience with international transactions principles;
- experience in the oil and gas, refining, chemicals, power or other energy-related industries (including renewable energy and new energies); and
- a self-starting, flexible, pragmatic, and commercially-oriented approach to practicing law.
