Overview

We are seeking a Governance Coordinator to join the Fuels Affiliates Affairs (FAA) Governance Division.

The Governance Coordinator has overall responsibility for the coordination/advisory of all aspects of corporate governance and agreements in relation to the International and Domestic Fuels Affiliates. He/She will ensure compliance with the various governing agreements and downstream guidelines, and is responsible for a number of key continuous improvement initiatives to develop a corporate governance processes for fuels affiliates.

The Governance Coordinator will be required to perform the following:

• Maintain detailed knowledge of the various governing agreements to ensure that organizations and JV Governance processes are in compliance with the Corporate guidelines.

• Support JVs Management Teams in discussions in relation to the governing agreements.

• Engage in functional reviews internally & externally, help JV Manager in closing pending functional reviews, review affiliates non-sales agreements with Saudi Aramco and/or partners (new and existing) especially terms concerning terminations, extensions, and revision, and monitor expiration dates to ensure timely renewal

• Become a focal point of contact between Aramco legal and Affiliates Affairs, governance Issues in view of established guidelines. Also, align and seek corporate legal organizations recommendations on legal issues facing or raised by affiliates affairs

• Identify Corporate Governance issues, coordinate input from across the company (i.e. Legal, Finance, etc.), and develop recommendations on how the issues should be addressed.

• Provide analytical support and advice to Fuels Affiliates Affairs JVs Management Team on all aspects of Corporate Governance relating to participation in the Domestic and International JVs.

• Maintain a thorough knowledge of developments related to Corporate Governance within company organizations and in the international arena.

• Search regularly for latest changes on companies' laws and regulations, under MCI, CMA, OOK affiliates are aligned with authorities' regulations in host countries, and keep JV Managers up to date on changes pertaining their affiliates.

• Search and benchmark best governance practices and share them with Affiliates Affairs and/or Board to determine if shall be adopted by our affiliates to enhance or strengthen specific areas.

Duties & Responsibilities

• Review and provide input to critical administrative and communication processes (including pre and post board briefings, pre and post-general assembly meeting briefings, regular communication meetings, etc.). This will include: Plan and coordinate key meetings to ensure the appropriate contributions, participation, and company position are addressed.

• Prepare and circulate agendas, minutes and newsletters, highlighting key tasks / implications. Maintain communication with range of stakeholders / partners and ensure all are informed of current activities and opportunities for input / feedback / collaboration are maximized. Maintain oversight of affiliates calendars, identifying all major meetings, milestones and events.

• Maintain, and provide access to, a comprehensive repository of information reflecting material shared in all key interactions with the Domestic and International JVs (including governing agreements, meetings, presentations, reports, letters and emails). This will include: establish information, data, and research methods / systems to support short- and long-term Corporate Governance requirements across FDAAD and FIAAD.

• Coordinate the contribution of information from all interactions with the JVs. Proactively address deficiencies and non-compliance, reporting delinquencies to Senior FDAAD and FIAAD Management. Interpret new reports/ research / data and communicate implications of this "new knowledge" within FDAAD and FIAAD.

• Establish and maintain good working relationships with key personnel in the Domestic & International JVs to ensure FDAAD and FIAAD are well appraised of all developments relating to Corporate Governance.

• Review and ensure compliance of Board governance for affiliates is met. Conduct periodic reviews to give assessment and/or assurance on Board governance

• Work with concerned Corporate Compliance and Law Departments and to educate and increase awareness on governance principles, Saudi Aramco policies and guidelines on anti-bribery or corruption, Conflicts of Interests, and Code of Business Conduct to ensure strong governance is well established and observed by all affiliates

• Partner with Domestic & International affiliates to learn about Corporate structure in partners, how partners manage their affiliates business, and conduct research on partners from governance perspectives

• Perform other miscellaneous duties as directed.

Minimum Requirements

As the successful candidate should have the following credentials:

• A bachelor degree in law, business administration, engineering or a related field of study. Preferably, the candidate should have a JD Degree (A Juris Doctor, also known as Doctor of Law or Doctor of Jurisprudence (abbreviated J.D.) is a graduate-entry professional degree in law.

• At least five years of industry experience, with a thorough knowledge of all aspects of corporate governance, particularly within a joint venture environment.

• Ability to process complex and potentially sensitive issues, developing sound, fact-based recommendations.

• Excellent in both analytical and conceptual thinking.

• Willingness to tackle challenging tasks and seek additional responsibility. In conflict situations, will state own position clearly and confidently.

• Effective written communication skills - prepare documents and reports that are easily understood, gather data, and prepare analysis and recommendations.

• Excellent English communication skills, both verbal and written with ability to be comfortable communicating with Fuels Affiliates Affairs management.
