The Securities & Finance Law Specialist plays a critical role in the legal and compliance industry in Dubai, UAE. This position focuses on providing expert legal advice and guidance to clients on matters related to securities and finance law. Key responsibilities include:

Compliance with Regulatory Requirements: Ensure compliance with securities laws, regulations, and financial market rules and regulations in the UAE. Advise clients on legal obligations related to securities offerings, disclosures, and reporting requirements.
Securities Offerings: Assist clients in structuring and executing securities offerings, such as initial public offerings (IPOs), private placements, and debt issuances. Review offering documents, prospectuses, and other relevant legal documentation.
Investment Fund Formation: Provide guidance on the formation and operation of investment funds, including mutual funds, private equity funds, and hedge funds. Advise on regulatory compliance, fund structuring, investment agreements, and fund documentation.
Corporate Governance: Advise clients on corporate governance matters, including compliance with securities regulations, board of directors' responsibilities, shareholder rights, and disclosure requirements.
Securities Litigation: Assist clients in securities-related litigation matters, including investigations, enforcement actions, and shareholder disputes. Provide legal representation in court proceedings, arbitration, or regulatory hearings, if required.
Financial Market Regulations: Stay updated with the evolving financial market regulations and regulatory developments in the UAE. Advise clients on the impact of new regulations and assist in adapting their business strategies and practices accordingly.
Regulatory Filings and Disclosures: Prepare and review regulatory filings, including periodic financial statements, reports, and disclosures required by relevant regulatory bodies. Ensure accuracy and compliance with disclosure requirements.
Financial Services Licensing: Assist clients in obtaining necessary licenses and approvals from regulatory authorities for operating in the financial services sector. Advise on licensing requirements, applications, and compliance obligations.
Due Diligence: Conduct legal due diligence on securities transactions, mergers and acquisitions, and other corporate transactions. Identify legal risks, regulatory compliance issues, and potential liabilities.
Client Consultation: Provide legal advice and consultation to clients on complex securities and finance law matters. Offer strategic guidance on capital market transactions, investments, financing arrangements, and corporate finance activities.

Desired Candidate Profile Qualifications and Skills: Bachelor's degree in Law or a related field. Specialization in securities law, finance law, or corporate law is preferred. Proven experience in securities law, finance law, or a related legal field, preferably in the UAE or a similar jurisdiction. In-depth knowledge of UAE securities laws, financial market regulations, and regulatory frameworks. Familiarity with corporate finance transactions, securities offerings, and investment fund structures. Strong analytical and problem-solving skills to navigate complex securities and finance law issues. Excellent communication and negotiation skills to interact with clients, regulatory authorities, and other stakeholders. Attention to detail and accuracy in reviewing legal documentation, contracts, and disclosures. Proficiency in legal research tools and databases. Ability to work independently and manage multiple client engagements simultaneously. Professionalism, integrity, and confidentiality in handling sensitive legal matters. Proficiency in English.
