Outsized members have access to an exclusive Community where they can connect with peers and experts, take part in live events, and find project collaborators.Who are we looking forAn exciting opportunity has opened within our clients Financial Services division in their Corporate Governance practice. They are seeking a Senior Corporate Governance Specialist to be seconded to an end client bank to assist them in enhancing their Corporate Governance framework. This role requires a seasoned professional with deep expertise in the financial sector, particularly within corporate governance, risk management, and compliance.Role & Responsibilities:Corporate Governance Assessment: Conduct comprehensive assessments of the bank's governance capabilities and practices. Perform gap analysis to identify areas for improvement and recommend strategies to enhance governance effectiveness.Framework Development: Develop and refine the corporate governance strategy and framework to align with best practices and regulatory requirements.Charter Review and Development: Review and assist in the development or modification of Board and Management Committees' charters to ensure regulatory compliance.Board Support: Coordinate logistics, prepare materials, and facilitate communications for Board of Directors and Committee meetings.Policy Implementation: Develop, review, and implement governance policies, procedures, and guidelines. Ensure these are in alignment with regulatory standards and industry best practices.Monitoring and Reporting: Create monitoring tools to track governance metrics. Provide regular reports to senior management and the Board of Directors.Regulatory Compliance: Stay updated on regulatory changes and ensure compliance with applicable laws and standards. Assess the impact of emerging governance trends on the organization.Training and Engagement: Design and conduct training programs and awareness campaigns on corporate governance principles, ethics, and compliance.Stakeholder Engagement: Maintain effective relationships with internal and external stakeholders, including regulators, investors, and auditors, to promote transparency and accountability in governance practices.Skills & Qualifications:Experience: 15-20 years in corporate governance within leading banks or consulting firms. Experience in Financial Service Advisory is crucial.Education: MBA in Finance from a leading business school. Bachelor's or Master's degree in Banking, Finance, Economics, Risk Management, or Accounting.Certifications: CFE, CPA, ACA, CAMS, or other relevant qualifications are highly desirable.Skills: Strong knowledge of corporate governance frameworks, risk management, and regulatory compliance. Excellent analytical, interpersonal, communication, and presentation skills.Attributes: High energy, detail-oriented, and capable of multitasking. Must have the ability to work well in a team environment and maintain a high level of confidentiality.
