Position Summary:
- True generalist role requiring a strategic mindset and proven expertise in both legal and business domains.
- As the sole lawyer, responsible for managing and addressing all legal matters including litigation and commercial and corporate, competition, marketing and advertising, intellectual property, franchising, real estate, M&A and privacy law.
- As a member of Executive Team, responsible for providing sensible and balanced advice on all matters.
- Reports to the President.
- Manage complex litigation including advising on strategy, tactics and pleadings, and instruct and collaborate with external counsel.
- Provide sound legal advice to Executive Team and cross functional teams that strikes a balance between compliance, business needs and long-term strategy.
- Collaborate with and support the legal needs of cross functional teams in Marketing, Sales, Distribution, Finance, Real Estate, Supply Chain, R+D, Procurement and Treasury.
- Manage external counsel relationships, scope of work, files and fees.
- Work closely with external counsel on complex or significant matters.
- Actively engage as member of Executive Team.
- Collaborate with and/or support colleagues in other business units and Global Corporate head office.
- Support compliance with internal policies develop and deliver compliance training programs and advise on governance matters.
- Anticipate issues, estimate risks strategically and practically and make sound recommendations on mitigation strategies.
- Keep abreast of legislative changes and industry trends.
- Possess strong problem-solving skills, with ability to provide timely, pragmatic and focused advice.
- General counsel experience in business environment and/or minimum six years of experience in a top tier law firm and/or large in-house legal department.
- Overall broad legal knowledge and experience, with demonstrated expertise in corporate governance and regulatory compliance; must have experience with litigation.
- Strong financial acumen and well-versed in how business operates.
- Ability to develop legal strategies and objectives and make decisions in high pressure or fluid environments.
- Ability to anticipate legal issues or risks, and to “see around the corner”.
- Ability to work independently while building strong internal partnerships.
- High degree of professional ethics, integrity and gravitas.
- Excellent judgment and analytical skills.
- Exceptional interpersonal and communication skills.
- LLB or JD degree.
- Member of Law Society of Ontario (other common law provinces will be considered).
- Bilingual (French and/or Spanish), business degree, civil law degree and Quebec Bar are assets.
- Available for occasional travel within Canada and internationally including to Mexico, Central America and South America.
- Demonstrated experience working with senior management and executives in a dynamic and matrixed environment.
