Private sector financial development is essential to the promotion of successful and sustainable economies in emerging markets. Infrastructure plays a key role in sustained economic growth by providing critical public services to the citizens in a country as well as a platform for efficient operation of businesses that create jobs. The private sector plays an increasingly important role in the financing and delivery of infrastructure and public services, including through Public-Private Partnerships (PPPs). IFC’s Transaction Advisory Services Department (CTA) is housed in the IFC Cross Cutting Solutions Vice Presidency (CCSVPU) and consists of two business lines:

  1. PPP Transaction Advisory (C3P) offering transaction advisory services to governments to design, structure PPP transactions in infrastructure to help client governments partner with the private sector to deliver affordable and high-quality infrastructure.
  2. Corporate Finance Services (CFS) has three key product offerings: (1) M&A Advisory: advising on buy-side/sell-side transactions; (2) Equity Mobilization Program (EMP): supporting third party equity mobilization alongside IFC investment; (3) Asset monetization involving listed or listing public entities.
Drawing on more than 25 years of experience and over 120 staff across the globe, CTA is currently managing over 100 active client engagements. Within the WBG, IFC plays the leading role in mobilizing private capital for the WBG. In FY24, CTA mobilized $4.7B of private investment (approximately 25% of IFC’s total core mobilization) and expects this to grow in the near future - in line with the WBG’s drive to expand private capital mobilization, particularly in emerging markets. The new hub is being developed in furtherance of this objective. IFC’s CTA MCT (CTAPM) region is now seeking to recruit an Extended Term Consultant (ETC) at the GG level to support the regional team, management, and transaction teams in business development, processing and implementing mandates for both C3P and CFS. The ETC will be based in Riyadh, Saudi Arabia, reporting to the C3P Regional Manager for MCT. Roles And Responsibilities The selected candidate will work closely with the Riyadh based Hub-Leader and project team leaders as part of project teams to assist in the origination and execution of Advisory Mandates in Saudi Arabia, and the greater GCC area. This includes the following:
  1. Supporting the CTA regional team in business development to originate advisory mandates with Government and its agencies to advise on privatizations and PPPs, and with private sector clients on buy side and sell side advisory to support CFS business, as well as in strategic pre-IPO advisory.
  2. Contributing to origination and marketing activities, including preparation of pitchbooks and C3P and CFS advisory proposals, market analysis, early-stage project assessments and client presentations;
  3. Support in maintaining strong relationships with internal regional and industry counterparts in the GCC area, with the objective of identifying collaboration opportunities that enhance business development and delivery that is aligned with IFC corporate objectives.
  4. Working with clients and with relevant internal resources to help clients to develop a transaction strategy, and to undertake bankability assessment, funding feasibility, financial modelling, business planning/restructuring.
  5. Drafting key transaction reports and project documentation (Marketing documents for each transaction, Information memoranda, due-diligence, and transaction structuring reports, and transaction contracts and agreements, etc.).
  6. Assisting in reviewing due diligence reports, including in data collection and analysis, and in the review of legal, commercial, environmental and social, and technical outputs and documentation;
  7. Supporting the project team leader with the articulation of a transaction structure and recommendation to the client, and with drafting a transaction structure report;
  8. Assisting in marketing transactions to potential investors, conducting roadshows and international competitive tenders and facilitating commercial/financial closure;
  9. Participating in meetings and negotiations with government clients and investors; and
  10. Assisting in other project or CTA, IFC and WBG strategy related activities as the need arises (research, internal notes, etc.).
Selection Criteria
  1. MBA or Masters degree in Finance, Management, Business or a related field;
  2. Minimum 12-15 years of relevant experience in an infrastructure sector and/or with a financial or advisory institution involved in PPP transaction advisory, M&A and privatization, project finance, or private equity investment;
  3. Knowledge of infrastructure / PPP industry and market players / relevant sector drivers and trends (including power, transport, social infrastructure sectors);
  4. Strong transaction advisory experience in buy side mandates, sell side mandates (including with Government clients), restructuring mandates;
  5. Track record of delivering targeted results on M&A, Restructuring and Strategic Pre-IPO advisory mandates under stressful timetables and environment;
  6. Ability to interact effectively with government and/or private sector clients and stakeholders, demonstrating appropriate behavioral and communications skills;
  7. Ability to work on multiple transactions and deliver high quality work within deadlines to meet team objectives;
  8. Excellent English written, verbal communications and presentation skills. Arabic is strongly preferred;
  9. Ability and willingness to travel frequently in the region.
