Position Summary: Service Lee Technologies Private Limited "Company", operating under the brand name "Servify", is looking to hire a commercial and technology transactions attorney for the role of Manager to support its global legal function. The role requires the candidate to independently handle various verticals such as commercial customer and vendor contracts for the Indian business operations, global mergers and acquisitions, global data privacy and protection, global intellectual property and global licenses & registrations. The ideal candidate should have a strong background in corporate law, excellent communication and organizational skills, and the ability to handle complex legal matters with minimal supervision. The candidate will work closely with the Head - Legal and Secretarial, the management, the data protection officer and the business teams.Key Responsibilities: Key strategic member of the legal team supporting the Company's Indian business operations and global mergers and acquisitions, global data privacy and protection, global intellectual property and global licenses & registrations.Draft, review and negotiate all types of commercial customer and vendor contracts, including NDAs, MSAs, SOWs, SaaS licensing agreements, MOUs and other commercial agreements and other complex commercial, technology, and strategic partnership agreements.Streamlining contract management process by standardizing contract templates vis-à-vis global agreements including commercial contracts, data processing agreements, NDAs etc.Handle mergers and acquisition transactions as the legal SPOC, including: (i) conducting / reviewing due diligence exercise; (ii) drafting, reviewing and negotiating transaction documents; (iii) carrying out all closing and post-closing formalities for the transaction along with support from relevant functions; and (iv) liaise with external and internal stakeholders.Handle intellectual property matters of the company as the legal SPOC, including: (i) drafting and reviewing IP related legal documents; (ii) liaising with internal and external stakeholders; and (iii) drafting legal notices and responses as well as prosecution work.Handle the global data privacy and protection matters as the legal SPOC along with the DPO and relevant internal stakeholders, including: (i) drafting, reviewing and negotiating data processing agreements, reviewing personal data journeys for programs globally, structuring processes relating to processing of personal data and other tasks relating to the data privacy and protection matters of the Company.Coordinate with key internal stakeholders across jurisdictions and proactively provide counsel, strategic guidance and value-added support on legal issues (including related to electronic signatures, data protection, stamping, financial regulation and on the potential legal implications of any significant matters pertaining to the operations of the business).Brief and manage external consultants across jurisdictions where specialist advice is required (including advise on structuring of business transactions, litigation, local laws and regulations).Advise on day-to-day legal issues faced by the businesses and alert business teams to legal and regulatory risks and provide strategic legal guidance.Monitor and keep abreast of legislative changes that may affect the Company and its affiliates and their businesses and intimate the team and management regarding the same on a timely basis.Collaborate with different departments and take on projects, assignments in addition to the daily day job, as needed.Requirements: Bachelor's degree in law from a reputed institution. Master's degree will be an added advantage.At least 3 years of relevant experience working in a law firm and/or in-house legal department.Excellent knowledge and understanding of corporate laws and procedures.Excellent drafting skills as well as research, analytical, and problem-solving skills.Excellent problem-solving, advisory, negotiation and drafting skills.Demonstrated ability to create legal defensive or proactive strategies.High degree of professional ethics and integrity.Sound judgment and ability to analyze situations and information.Must possess excellent interpersonal, presentation, communication (verbal and written).Ability to plan, execute and measure with a strong sense of urgency to drive results.Highly self-motivated with ability to manage and prioritize multiple projects.Ability to work independently and also as part of a diverse team.
