Lawson Clark & Oldman is one of Durham Region's oldest and well-respected law firms. We are seeking an experienced Corporate Law Clerk (minimum 2-5 years experience) to join our firm. The successful candidate will assist with all aspects of corporate and commercial files and must have the ability to manage corporate and commercial closings from beginning to end. The full-time, permanent position is based in Ajax.The candidate must have the ability to work independently and as part of a team. The candidate must also be detail-oriented and proactive with excellent time management skills. This position is best suited to qualified individuals who have excellent client service skills, are friendly and professional and are not shy about communicating with lawyers or clients directly. We pride ourselves on having a culture that emphasizes collaboration, open communication, continuous learning, humility and integrity.  Duties and Responsibilities:Drafts all letters and emails to clients, accountants etc.Orders and reviews preliminary and full NUANS reportsPrepares corporate documents for corporate financingsPrepares annual resolutions/minutes of meetings for corporationsPrepares resolutions for dividends, bonuses and special resolutionsOrganizes new corporations and completes all registers in minute bookFiles business name registrations and renewalsCompletes and files Form 1 with Ministry when changes of registered office, directors or officersPrepares annual returnsPrepares Articles of Incorporation, Articles of Amendment, Continuance, Amalgamation, DissolutionDrafts asset purchase/sale documents, share purchase/sale agreements and all related documents including Closing AgendasOrders all corporate searches, including Certificate of Status, Corporate Profiles, PPSA searches and prepares PPSA registrations and filing of sameCommunicating with clients and initiating follow-up as requiredManaging transactions while tracking while communicating effectively and in a professional and timely manner with clients, lawyers and other parties in order to adhering to transaction deadlinesPreparation of disbursement statements and draft accounts; We offer a competitive compensation and benefits package commensurate with experience.Requirements:Minimum 2-5 years' experience working as a corporate law clerk at a large or boutique law firmLaw Clerk Diploma from an accredited Ontario collegeKnowledge of procedures of incorporation and organization of companies and partnershipsKnowledge of the Business Corporations Act (Ontario), Canada Business Corporations Act, Limited Partnerships Act (Ontario) and Corporations Information ActExperience with minute books review and rectification of deficienciesSelf-starter, highly organized and exceptional attention to detailProfessional and able to work independently and juggle competing priorities in a fast-paced environmentStrong communication (verbal and written) and interpersonal skillsStrong knowledge of Microsoft Office, including Word, Excel, PowerPoint and OutlookKnowledge of corporate entity data management systems is an asset. Job Types: Full-time, PermanentAdditional pay:Bonus payBenefits:Company eventsDental careExtended health careOn-site parkingPaid time off APPLICAION:·        Please email applications to coldman@lcolaw.caApplications must include:·        Resume·        Cover Letter explaining your interest in the position·        Salary expectationsCommensurate compensation and benefits package in addition to chances for advancement for the ideal candidate.
