Job Purpose

The Associate Director / Director of M&A will be responsible for driving the company’s mergers and acquisitions strategy across the APAC region, with a focus on expanding its portfolio of renewable energy assets. The role involves leading end-to-end deal processes, from sourcing and evaluating opportunities to executing transactions and integrating acquisitions. This position requires strong strategic insight, financial expertise, and a deep understanding of the renewable energy landscape in the region.

Key Responsibilities

  1. M&A Strategy & Deal Origination:
    • Develop and execute the company’s M&A strategy in the renewable energy sector across APAC, identifying strategic opportunities that align with the company's growth and sustainability objectives.
    • Build and maintain a pipeline of potential acquisition targets, partnerships, and joint ventures.
    • Lead efforts to assess market trends, regulatory environments, and competitor activities to identify M&A opportunities.
  2. Deal Execution:
    • Lead and manage the end-to-end M&A process, including sourcing, negotiation, structuring, and execution of transactions.
    • Oversee financial analysis, valuation, and due diligence processes, coordinating with internal teams and external advisors.
    • Prepare and present investment recommendations and business cases to senior management and the board of directors.
  3. Negotiation & Structuring:
    • Develop and structure deals that maximize value and mitigate risks for the company.
    • Lead negotiations with counterparties, including sellers, financial institutions, and legal teams, ensuring favorable deal terms.
    • Coordinate the preparation of legal documents, including term sheets, sale and purchase agreements, and other transaction-related documents.
  4. Integration & Post-Transaction Management:
    • Work closely with operational teams to ensure smooth integration of acquired assets or businesses.
    • Monitor and manage the performance of completed acquisitions to ensure financial and strategic objectives are met.
    • Provide insights and support for post-merger integration activities, ensuring alignment with corporate strategies and financial goals.
  5. Stakeholder Engagement:
    • Build strong relationships with key stakeholders, including financial institutions, legal advisors, regulatory bodies, and industry experts.
    • Collaborate with cross-functional teams, including finance, legal, operations, and technical departments, to ensure seamless transaction execution and integration.
  6. Regional Leadership & Team Development:
    • Act as a regional leader in M&A efforts, representing the company at key industry forums and events.
    • Mentor and develop junior members of the M&A team, fostering a culture of high performance and innovation.
    • Provide strategic input to senior leadership on market trends and opportunities in the renewable energy sector.

Key Requirements

  1. Education:
    • Bachelor’s degree in Finance, Business, Economics, or a related field. A CFA, MBA, or equivalent qualification is highly desirable.
  2. Experience:
    • Minimum 8-12 years of experience in M&A, investment banking, private equity, or corporate finance, with a strong focus on renewable energy or infrastructure projects.
    • Proven track record of leading and closing successful M&A transactions in the APAC region.
    • Deep understanding of financial modeling, valuation, and due diligence processes.
    • Experience in negotiating and structuring complex transactions, including M&A, joint ventures, and partnerships.
  3. Skills & Competencies:
    • Strong leadership and strategic thinking skills, with the ability to drive initiatives across multiple geographies.
    • Excellent negotiation and communication skills, with the ability to influence internal and external stakeholders.
    • High level of financial acumen, with deep expertise in project finance, corporate finance, and valuation methodologies.
    • Ability to manage multiple transactions and projects simultaneously in a fast-paced environment.
  4. Regional Knowledge:
    • Deep understanding of the APAC renewable energy markets, including regulatory frameworks, competitive landscape, and market dynamics.
    • Ability to navigate complex regulatory environments and manage cross-border transactions.
  5. Additional Requirements:
    • Willingness to travel extensively within the region.
    • Passion for renewable energy and a strong commitment to sustainability.
