Position: Company SecretaryQualifications: CSExperience: 10 to 15 yearsLocation: GandhinagarDesignation: CSOJob descriptionQualified Company Secretary with 10-15 years of post-qualification experienceMost recent experience as a Company Secretary / Compliance Officer in India with experience Capital Markets / BFSI SectorExcellent communication and articulation skills and experience of having worked independently with senior management teams and Board of DirectorsGood drafting and presentation skillsPerson of high integrity with experience of running statutory and ethical compliance program in IndiaTech-savvy, ability to use digital tools with ease, ability to implement digital alternatives to simplify ways of working.Ability to multi-task, prioritize, set, and meet timelines.Reports to: MD & CEOResponsibilities:Ensure compliance with the Companies Act, IFSCA Regulations and all other applicable regulations.Oversee and manage the compliance and secretarial functions end-to-end for the Company.Convening Board meetings, Committee meetings and shareholders meeting and compliance with all matter's antecedent and consequent theretoManaging the Board of Directors and other stakeholders, including but not limited to shareholders / investors, regulatory authorities, and government.Liaise with regulators like IFSCA, SEZ & ROC and other regulators as needed.Review and ensure submission of various regulatory filings.Proactively advise the leadership team on potential compliance related risks and risk mitigation strategies.Monitor regulatory changes, assess impact on business, provide comments on consultative papers.Over a period, expected to build a team for different sub-functions, as required.Recommend and institutionalize best governance policies and practices.Business partner to the finance, human resources, and other functions from time to timeManage statutory compliance tool, establish systems and process to streamline and automate reporting on the tool, train users on use of the tool and improve effectiveness of reporting.
