JOB PURPOSE: To coordinate with various external and internal external stakeholders, draft legal opinions, draft and vetting of various legal documents as required by internal and external stakeholders to evaluate and to minimize legal risks involved in any given business, commercial and/or trade transaction. Job Description:
  • To assist Head Legal in corporate, legal and litigation matters pertaining to Corporate Banking, Consumer Banking, IBG, Structured Finance and, if required, in projects while making sure all the work is carried out in a controlled and consistent manner.
  • To provide opinions on legal issues to all departments / functions, including, opinions on security/property documents and to advise on queries in this regard from business departments, CAD, Risk, Trade etc. effectively & timely.
  • Rendering legal opinions as to acceptability of collaterals, offered in context of the bank’s credits/advances, based on in-depth scrutiny of collaterals’ title documents, with special emphasis to the relevant property laws making sure all the requirements are fulfilled while delivering a quality service.
  • Drafting and vetting of legal documents of all nature, including agreement and other documents pertaining to financing, investment and services, such asagreements, undertakings, guarantees, indemnity bonds, finance documents and other banking and other instruments, etc. in a timely & effective manner.
  • To advise on response to queries/letters/notices/complaints received from customers, Legal Enforcement Agencies, Banking Mohtahsib, SBP and other regulatory authorities timely and without any delay.
  • Provides expert guidance on criminal or tax related cases concerning the bank, such as, NAB ordinance, Police cases, and notices from Income Tax Department/Inland Revenue/FBR, customs authorities and regulators.
  • Discuss the cases with external counsel and follow up/ monitor court proceedings and appear in court to protect the interest of the Bank as and when required while making sure that all the legislative requirements are fulfilled while delivering a quality and cost-effective service.
  • Monitoring the progress of existing Panel lawyers.
  • Analyses of discrepancies and loopholes in credits / advances security documents to strengthen finance facilities extended by the bank.
  • Drafting as well as vetting of security documents in context of financing pertaining to Corporate, Commercial, Retail, Islamic & Consumer Banking to ensure perfection of the said documents & to secure Bank’s interest in the court of law.
  • Obtained litigation update from different stack holders i.e. Consumer, SAM and consolidate a MIS of Litigation on required basis. To provide the information as required by Internal, External, Credit Rating Agencies and SBP Auditors regarding the Litigation related issues to ensure the smooth processing of information as & when required.
  • Recommend improvements to divisional/departmental policy and ensure the implementation of procedures and controls covering all areas of the Corporate Affairs department, so that all relevant procedural/legislative requirements are fulfilled while delivering a quality and cost-effective service.
  • Drive the identification of opportunities for continuous improvement of systems, processes and practices within the function; taking into account ‘international best practice’, improvement of business processes, cost reduction and productivity improvement.
  • Perform additional duties in line with the current role, as and when requested by the Head of Legal Affairs.
Minimum Qualifications : LLB or LLM Minimum Experience: 7 years of experience in the relevant field Job Specific Skills: Corporate Law, Banking & Finance Law Islamic Finance Drafting & Vetting of Agreements Banking Documents / Instruments Behavioural Skills: Good interpersonal & Communication Skills Excellent negotiation & advisory skills
