The position requires significant client contact and the ability to excel when working independently. Superior client communication, writing, research, computer, and organizational skills are a must. Experience with general corporate matters, corporate governance, drafting securities offerings documents (public and/or private), venture capital and private equity transactions, commercial lending transactions, commercial contracts, and complex M&A transactions preferred. Tax and deal structuring a plus. Responsibilities
- Draft, review, and revise pleadings, motions, briefs, opinions, and other legal documents.
- Represent clients in court or before government agencies, presenting evidence to defend or prosecute in civil litigation.
- Interpret laws, rulings, and regulations for individuals and businesses and provide legal advice.
- Conduct legal research and analysis of legal problems to guide case strategy.
- Handle all aspects of discovery, including taking and defending depositions.
- Juris Doctorate degree from an accredited law school.
- Admission to the state bar and in good standing.
- A minimum of 3 years of litigation experience, with a focus on business and contract disputes.
- Proven experience in drafting and arguing motions, taking and defending depositions, and managing discovery.
- Exceptional knowledge of federal and state laws, court procedures, precedents, government regulations, executive orders, agency rules, and the democratic political process.
- Strong analytical and problem-solving skills, with the ability to think strategically and provide practical legal solutions.
- Exceptional negotiation skills with the ability to resolve complex legal disputes.
