Overview: The Junior Legal Counsel will provide comprehensive legal and company secretarial support to Apave’s subsidiaries across the Asia-Pacific region. This role involves ensuring compliance with Group legal procedures and providing assistance in various legal domains. The position offers a unique opportunity to work in a multicultural and dynamic environment while directly supporting the Legal Counsel for Asia-Pacific. Role & Responsibilities General information : -Monitor the implementation of the Group's legal procedures in the subsidiaries ; -Managing the update and upload of legal documentation on dedicated legal software; Contracts : -Drafting, negotiation and review of contracts (general terms and conditions, commercial agreements, partnership agreements, tenders, intra-group agreements, etc.) in accordance with Group procedures; -Ensure the use of standard contract templates approved by Apave Group; -Update of general terms and conditions ; -Reviewing real estate leases; Company law: -Assist with the management of the corporate life of subsidiaries: organization of annual general meetings and board of directors' meetings (drafting resolutions and reviewing minutes of meeting, preparing notices of meetings, signing and recording minutes, etc.), preparation of appointment/ removal of corporate officers, renew of statutory auditors' mandates, etc.); -Handling legal formalities and keeping company registers up-to-date; ROC filing -Preparation/renewal of powers of attorney and delegations of authority and archiving of electronic copies on the dedicated platform; Pre-litigation, litigation and insurance : -Assist in the management of pre-litigation and litigation ; -Assist in the management of the insurance portfolio; Candidate Profile: - Master's degree in law (CS added advantage), ideally with a specialization in business law, contract law, company law, international law ; - At least 5 years experience in a legal position in a law firm or legal department, ideally in an international group; - Fluency in English ; -People skills needed to interact with support services and operational staff; - Excellent ability to organize work methodically; - Ability to manage several cross-cutting issues in a multicultural and international environment.
