As a Contract Manager, you will be instrumental in managing the entire contract life cycle for US- based contracts, ensuring compliance, and aligning contracts with the company's strategic goals. Overview: Supporting the US business, you will oversee the full contract life cycle, from initiation to completion, ensuring that all agreements are well-drafted, compliant, and aligned with the organization’s business objectives. You will collaborate with internal stakeholders across legal, finance, procurement, and sales teams globally, while also working closely with external vendors, clients, and US-based partners. Oversee and ensure compliance with corporate governance, regulatory requirements, and legal standards while managing stakeholder relationships. Drive strategic initiatives to align corporate policies with organizational goals and industry best practices. This role requires profound legal knowledge, particularly with respect to US laws and regulations, as well as the ability to communicate effectively with cross-border stakeholders. Excellent communication skills and deep understanding of US legal frameworks are essential for this position. The role will require you to work during US Hours shift to support US-based teams. Key Responsibilities: 1. Contract Development & Review: o Draft, review, and negotiate contracts, ensuring clarity, accuracy, and compliance with US legal standards, organizational policies, and risk management frameworks. o Work closely with US-based legal counsels to address any legal concerns and ensure contractual terms align with company policies and regulatory requirements in the US territory. 2. Contract Administration & Compliance: o Develop and maintain a centralized contract repository, tracking key milestones, renewal dates, and deadlines. o Monitor contract performance and compliance, working proactively to identify and resolve any deviations, and ensuring adherence to US legal standards. 3. Stakeholder Collaboration: o Collaborate with cross-functional teams in Pune (Legal, Finance, Sales, Procurement) and US counterparts to ensure contracts align with the organization’s goals. o Maintain communication with external vendors, clients, and partners in the US to negotiate terms, resolve disputes, and build strong professional relationships. 4. Corporate Affairs o Ensure adherence to corporate governance standards, regulatory requirements, and internal policies to safeguard the organization’s integrity and legal standing. o Develop and implement corporate policies and initiatives that align with organizational goals, industry best practices, and emerging trends to drive operational excellence. 5. Risk Management: o Identify and assess potential risks in contracts, offering risk mitigation strategies to protect the organization’s interests. o Stay updated on US legal and regulatory changes to ensure compliance with evolving standards, particularly within the US territory. 6. Contractual Negotiations: o Lead negotiations with US clients, vendors, and partners to finalize mutually beneficial agreements. o Advocate for the organization’s interests while ensuring positive and collaborative relationships with stakeholders. 7. Training & Communication: o Provide guidance and training to internal teams on contract terms, policies, and best practices, with a focus on US legal requirements. o Ensure clear, concise, and effective communication regarding contract-related matters across teams in both India and the US. 8. Continuous Improvement: o Evaluate and improve the efficiency of contract management processes, implementing best practices from the US legal domain. o Leverage industry insights to implement process improvements, ensuring a high standard of contract management across borders. Qualifications:  Bachelor's Degree in Law, or a related field; advanced degrees or certifications in contract management are a plus.  5-7 years of proven experience in contract management, with a specific focus on US contracts, legal frameworks, and compliance.  Profound knowledge of US contract law and the ability to apply it effectively in contract drafting, review, and negotiation.  Excellent communication skills, both written and verbal, with the ability to articulate complex contract terms to diverse stakeholders.  Strong organizational skills, with the ability to manage multiple contracts simultaneously and track key milestones and deadlines.  Ability to work independently and collaboratively in a fast-paced, remote, and cross-border environment. Preferred Skills:  Proficiency in contract management software and related tools.  Knowledge of industry-specific regulations and standards, especially within the US market.  Experience in project management, particularly in a cross-border and global environment.  Comfort with working night shifts to support US legal operations. Additional Requirements:  This role requires working during US Hours to align with US business. Candidates must be comfortable with this schedule to ensure effective support for the US legal team.
