About the Role You'll work closely with senior management, the CEO, and key stakeholders to provide legal advice, support, and manage legal risk across all business operations. Key Responsibilities Representing Vela APX in all significant transactional matters, this role will draft, review, negotiate and advise on M&A, licensing, and procurement agreements and provide other generic advice and support. Key responsibilities will include: Draft, revise and negotiate letters of intent, non-disclosure agreements and purchase agreements Work closely with Vela APX’s M&A team and business unit managers to close acquisitions Prepare and negotiate commercial contracts with customers and suppliers and non-routine transactions Manage and assist in the management of the legal relationship with key accounts Manage systems and processes to identify and manage Vela APX’s legal and contractual risks effectively Offer legal perspective on Vela APX’s business issues, and a business perspective on Vela APX’s legal issues Assist with software licensing matters, including the creation of template agreements and negotiation of more complex customer contracts Provide expert legal services and business advice to facilitate the achievement of Vela APX’s business objectives Work with Head Office General Counsel regarding material events occurring in the Vela Software operating group Manage litigation and risk and engage with external counsel as required About You You will have a broad range of experience in providing in-house legal advice on a wide range of commercial matters. We’re looking for: 4-7 years of business and commercial legal experience Relevant M&A, corporate and licensing initiatives experience is required A Bus/Law undergraduate degree is essential, and an MBA would be considered an asset Strong commercial acumen and a solutions-focused mindset Proactivity, with a demonstrated ability to work under pressure and to deadlines whilst efficiently managing workloads.
