Role Description:
As Legal Counsel at Group AMANA, you must be work driven, proactive, strategic, and business-minded. You will be based in Dubai, UAE, and your day-to-day work will include providing legal advice on corporate and operational matters to support the growth and sustainability of Group AMANA. Reporting to the Group Senior Legal Counsel, the role requires a wide range of legal knowledge as well as perfecting legal tasks in aiding AMANA's different business teams with its legal issues amidst a dynamic and ambitious business expansion.- Supporting the Senior Legal Counsel and the legal team as well as various lines of business on legal, contractual, and business matters;
- Reviewing, drafting, and negotiating construction and commercial contracts, corporate bylaws, terms and conditions, etc.;
- Staying up to date with developments in legislation and jurisprudence;
- Advising on general legal matters related to Group AMANA's business;
- Coordinating and prioritizing work with internal stakeholders and external legal advisors;
- Taking responsibility for knowledge and documents management, such as preparation/revision of templates and legal guides;
- Participating in ongoing corporate compliance functions as required;
- Supporting the business in proactively managing and instructing litigation, arbitration, or any other ADR;
- Maintaining corporate records and minute books, coordinating matters relating to board and shareholders meetings, preparing materials for such meetings, and preparing related minutes, written consents, etc.;
- Notarizing and fully certifying legal documents and POAs, as well as translating them;
- Responsible for the application, issuance, renewal, and cancellation of company licenses (e.g., Municipality trade license, Chamber of Commerce license, etc.) when needed, handling corporate law matters, governance activities, and corporate filings;
- Advising on intellectual property issues, including patent, copyright, and trademark;
- Ensuring the company's compliance with local laws and regulations in the MENA region, including data protection, local content, corporate law, employment laws, etc.;
- Engaging in the application, registration, dissolution, issuance, renewal, and cancellation of company licenses (e.g., Municipality trade license, Chamber of Commerce license, etc.) as required;
- Attending and interfacing with authorities such as courts, experts, and notary public;
- Supporting research on laws, rulings, and regulations to legally protect Group AMANA business;
- Keeping abreast of the changes to laws and regulations in the areas of Group AMANA operations;
- Promoting Group AMANA's Code of Ethics and adhering to the highest standards of ethical conduct.
Educational Qualifications, Experience and Skills:
- University degree in Law
- Bar Association membership or certificate is recommended
- Minimum of 4 years of relevant experience in a (preferably) multinational business environment or law firm in the UAE or GCC
- Previous experience within the construction or industrial field is preferred
- Ability to provide sound risk analysis and reasoning, including the ability to explain legal matters to non-lawyers
- Ability to work in complex, regional and multinational organizations
- Business-minded with sound judgment and the ability to balance between legal and commercial considerations
- Handling transactional matters and ongoing commercial contracts.
- Must have good legal research skills, communication skills, customer-oriented, results-driven and focused, well organized, personable and diplomatic, confident, attention to detail, has teamwork, and interpersonal skills to contribute effectively to teams in a multidisciplinary environment
- Proficiency in English and Arabic language is preferred
