Job title: Corporate Advisory Manager_CTP Company: Pro Tem Job description : Background on the Firm: My client is one of the oldest and largest independent auditing, accounting and advisory firms in Cape Town. Job Overview: We are seeking a highly skilled and motivated Corporate Advisory Manager with strong expertise in the Companies Act and Tax Law, to join our dynamic Advisory Department. The successful candidate will play a key role in ensuring that all corporate restructuring, Mergers & Acquisitions (M&A), and tax-related documentation is compliant, precise, and aligned with current regulations. This position will support internal teams by ensuring best practices in legal drafting, compliance, and providing guidance on structuring legal documents. This is a non-legal opinion role but will focus on internal support and ensuring correctness in document drafting.

  • Key Responsibilities:
Legal Drafting & Compliance: Draft, review, and revise a range of legal documents, including but not limited to: Memorandums of Incorporation (MOIs), Shareholder Agreements, Resolutions, Loan Agreements, Corporate Restructuring Plans. Ensure all documentation is compliant with the Companies Act and applicable tax laws. Corporate Restructuring & Mergers and Acquisitions: Provide internal support in the structuring and documentation of corporate restructurings and M&A transactions, ensuring that all legal aspects are handled with precision and compliance. Tax Compliance: Apply deep knowledge of tax law to ensure that all corporate restructuring and M&A transactions are structured in a tax-efficient manner. Draft legal documents that adhere to tax regulations and align with optimal business outcomes. Develop & Maintain Legal Templates: Develop, maintain, and update legal templates for frequently used documents such as resolutions, agreements, and corporate structuring templates, ensuring alignment with legal and regulatory standards. Internal Legal Support: Work closely with internal teams, providing guidance on the correct legal frameworks, ensuring accuracy and compliance with the Companies Act, tax law, and related regulations, while refraining from offering formal legal advice or opinions. Process Improvement & Efficiency: Continuously improve legal drafting processes by implementing best practices and ensuring that all internal teams have access to up-to-date, efficient legal templates and workflows. Legal Research: Conduct research on relevant topics as required, such as changes to the Companies Act, tax laws, and other regulatory updates, ensuring that internal teams stay informed of legal developments. Project Management: Effectively manage multiple projects at once, coordinating with various stakeholders to ensure timely completion of tasks while maintaining the highest standards of legal compliance. Cross-functional Collaboration: Collaborate with the tax, audit, and advisory teams, ensuring that all legal aspects of corporate restructuring, M&A, and tax-related matters are properly handled and in compliance with all regulations. Work Under Pressure & Deliver Excellence: Work efficiently in high-pressure environments, managing tight deadlines and multiple priorities, while maintaining a high level of excellence in all drafted documents and legal support provided.
  • Qualifications & Skills:
Education: LLB, BCom Law, or equivalent legal qualification. Additional qualifications in tax or accounting are advantageous (e.g., CA(SA), Postgraduate Diploma/Masters in Tax).
  • Experience:
3+ years of experience in corporate law, with a focus on the Companies Act and Tax Law. Experience with Mergers and Acquisitions and Corporate Restructuring is essential. Demonstrated expertise in legal drafting, tax compliance, and structuring of corporate transactions.
  • Key Competencies:
Strong knowledge of the Companies Act and Tax Law. Proven ability to draft complex legal documents. Experience working on corporate restructurings and M&A transactions. Excellent project management skills with the ability to manage multiple tasks simultaneously. High level of accuracy and attention to detail. Ability to work well under pressure and within tight deadlines. Strong collaboration and communication skills. Driven, motivated, and excellence-oriented.
