What you'll be doing
As a Legal Counsel you will be providing legal advice and support to Legal Manager and business executives on various matters related to their business, such as contracts, compliance, governance, risk management, litigation, and transactions for the assigned specific division, region, or Business.- Prepare and/or review drafts of agreements and other legal documents (such as resolutions and incorporation documents).
- Prepare any documents required for legal and financial compliance.
- Prepare, draft and/or review corporate governance documents.
- Prepare and finalize incorporations of legal entities in various jurisdictions.
- Prepare, review and update tables related to the corporate governance of the joint venture and the Group and provide analysis as requested by the Management.
- Conduct legal and factual research and data analysis as directed.
- Provide legal analysis of contractual and regulatory issues.
- Convey legal advice and follow-up information to Manager, in consultation with attorneys or external lawyers, regarding the legal implications, risks, and liabilities of proposed and actual policies, practices, and contractual situations.
- Negotiate specific contractual issues and agreements with external entities as appropriate.
- Participate in meetings and conferences pertaining to general corporate matters and resolution of contracting issues.
What you'll need to succeed
- Bachelor's degree in law and a juris doctor degree.
- License or certification to practice law in the relevant jurisdiction.
- A minimum of 3 years of external or in-house legal experience managing corporate and commercial legal matters.
- A working knowledge of Joint Ventures or Distributors.
- Proficiency in English written and spoken is a must, French and/or Arabic would be a plus.
