The associated risks and stakes are obviously high. As legal counsel, you play an important role in advising both the business and our operation on various legal matters. Among other things, you will participate in the tender process, take a critical look at the tender documents, and advise on contractual matters. You will also advise and work on setting-up legal structures and the purchase, sale and/or reflagging of ships.

Based in South Holland (currently in Rotterdam), the Netherlands, the Group Legal Department of Smit Lamnalco is responsible for all legal matters of Smit Lamnalco world-wide. The team comprises of two commercial legal counsels, a corporate legal counsel, an insurance advisor, and operates under the management of the Group General Counsel.

Job Description

Are you looking for a career as a Legal Counsel in the marine services industry? Have you worked as a commercial lawyer or in-house legal counsel, and are you ready for a next step in your career? As Legal Counsel for Smit Lamnalco you will:

provide legal support on various legal aspects relevant to the business and our operation

review tender documents and provide legal guidance in contract negotiations

draft commercial contracts, joint-venture agreements

prepare corporate documents such as minutes of board and shareholder meetings, shareholder agreements, and powers of attorney for general purposes and transactions

initiate and set-up new legal structures and new (local) entities, amend existing structures

guide and assist on vessel sales and purchases, change of ownership and flag registration

provide legal support in case of disputes, recovery and settlement of claims, litigation, and actively manage legal proceeding and external advisors

support contract lifecycle management, provide internal training, initiate standardization of legal processes, draft legal models, templates, policies on (for example) compliance

identify and monitor relevant developments in the field of legislation, regulations and case law

You are the Legal Counsel we are looking for if you possess the following qualities:

completed a bachelor and a master's degree in law

demonstrable relevant work experience as a legal counsel in an international setting, preferably the maritime and/or oil and gas industry or other relevant work experience

knowledge of and experience with international contract law, corporate law, and preferably also with claim handling and (maritime) insurances

critical, analytical thinking with a positive attitude

a pro-active, hands-on problem-solving mentality, seeking opportunities for improvement

team player with an eye for legal risks versus business interests

good communication and organizational and stakeholder management skills

flexible and capable of handling multiple tasks and prioritize work in a dynamic environment

fluent in English (both written and verbal)

You must be eligible to work in the Netherlands.
