Senior Associate - Contracts and Corporate

Job Purpose Support the General Counsel in achieving the Legal Department's strategies and objectives by providing legal support on a wide range of corporate matters, contracts, and projects. Identifies legal risk in business and contracts and recommends solutions that help address the Company's objectives. The Senior Associate – Contracts and Corporate (SAC) will support DTC's transformation and growing businesses. The SAC provides legal guidance, advice, and recommendations for action to different functions within the company regarding legal risks, mainly regarding local and international regulations. Working closely with the General Counsel, SAC will be responsible to provide commercially-based, solution-driven legal advice and assistance to business teams, as well as ensure proper protection of the company's interest at all times.
Key Accountabilities
- Acts as lead legal advisor for different contracts and projects and for providing legal advice to the business;
- Represents the Legal Department at cross-company projects and assignments;
- Assists the General Counsel in developing a contract management process and risk identification and mitigation process;
- Assists the General Counsel in developing and maintaining framework and standards to ensure effective legal support on contractual compliance and governance;
- Manages relationships with external counsel on complex contracts, assists in conducting due diligence and contract drafting in M&A projects, and manages external legal budget;
- Ensures quality management of contract templates for projects including (NDAs, MOUs, JVs, M&A, employment, services, and operational contracts, and other agreements);
- Reviews policies and procedures in line with local regulations;
- In liaison with the General Counsel, represents the Legal Department, as required, in strategic negotiations to ensure optimal legal structure and to negotiate and finalize agreements while ensuring DTC is contractually protected in its arrangements;
- Cooperates with the members of the Legal Department;
- Provides training for UAE Nationals within the Legal Department.
- Qualified Lawyer with a minimum of 6 years PQE.
- Experience in M&As and commercial contracts is essential.
- Preferable mix of professional experience as an in-house counsel of strong legal experience in a broad spectrum of areas including (capital markets, corporate law, M&A, commercial) and legal counsel in a top-tier law firm with international clients or other relevant private or public practice.
- Bilingual communication skills (Arabic + English);
- Excellent Arabic and English written is required.
