Legal Department Manager, you will play a crucial role in overseeing all legal matters within the organization. You'll offer legal advice and guidance to the company, ensuring compliance with laws and regulations and your detailed activities cover the following:Strategic and Managerial Responsibilities:Establishing the Operations Division's short and mid-term strategy in consultation with the Chief Executive.Developing key policies, operating procedures, and manuals necessary for the effectiveness of the Legal Division.Identifying the Division's key enablers for successful delivery and formulation of budgetary requirements.Supervision and Team Management:Managing the team within the Legal Division by evaluating performance against set targets, providing ongoing feedback, identifying development needs, and coaching team members.Distributing roles and assignments within the Division in consultation with the Chief Executive.Cross-Border Trade Activities and Promotion:Providing opinions and advice from a legal compliance perspective.Overseeing the legal due diligence process of transactions within the division to ensure legality in trade operations, resource mobilization processes, liquidity investments, and any other interactions with ITFC counterparts.Legal Compliance and Risk Management:Drafting and Reviewing Contracts: The legal team ensures that all contracts related to property transactions, leases, and agreements comply with local laws and regulations.Providing legal advice and guidance for business requirements on matters related to the legal scope, such as financing agreements, international agreements, contracts, and other matters that pose legal risks.Clearing legal opinions from law firms where appropriate for matters related to the International Islamic Trade Finance Corporation (ITFC) legal needs.Ensuring clearance of financing agreements and contracts between ITFC and counterparties to address legal risks.Due Diligence: Conducting legal due diligence on property acquisitions, sales, and leases to identify any potential legal risks.Title Verification: Ensuring clear title ownership and resolving any title-related issues.Environmental Compliance: Addressing environmental regulations and permits related to property development and management.Property Transactions and Documentation:Property Sales and Purchases: Managing legal aspects of property transactions, including drafting sale agreements, conducting title searches, and handling transfer of ownership.Lease Agreements: Drafting and reviewing lease agreements, addressing tenant rights, rent collection, and dispute resolution.Property Development Contracts: Handling legal aspects of construction contracts, development agreements, and joint ventures.Litigation and Dispute Resolution:Legal Disputes: Representing the company in legal disputes related to property, such as tenant disputes, construction defects, or boundary disputes.Mediation and Arbitration: Exploring alternative dispute resolution methods to avoid lengthy court proceedings.Regulatory Compliance:Zoning and Land Use Regulations: Ensuring compliance with local zoning laws, building codes, and land use restrictions.Health and Safety Compliance: Addressing safety regulations for properties, especially in residential and commercial buildings.Corporate Governance and Ethics:Board of Directors Support: Providing legal advice to the board of directors on governance matters.Code of Conduct and Ethics: Developing and enforcing ethical guidelines for employees and management.Intellectual Property Protection:Trademark and Copyright: Protecting the company's brand, logos, and intellectual property related to property development.Patents (if applicable): Addressing any patent-related matters related to innovative property technologies.Insurance and Risk Mitigation:Insurance Policies: Reviewing insurance policies related to property assets, liability coverage, and risk management.Claims Handling: Assisting with insurance claims arising from property damage or accidents.Foreign Ownership and Investment Rules:Understanding and advising on the rules related to foreign ownership of real estate in the GCC countries, including Saudi Arabia.Facilitating property transactions and ensuring compliance with ownership restrictions.Providing legal guidance on land acquisition, leasing, and development.Legal Project Management (LPM):Implementing LPM methodologies to streamline legal operations and enhance efficiency.Focusing on optimizing processes, managing resources, and delivering legal projects on time and within budget.Government Relations and Licensing:Establishing partnerships with private sector developers for housing projects.Facilitating fast-track licenses and special finance packages to encourage private sector investment in housing.Ensuring compliance with licensing requirements for foreign entities.Client Communication and Transparency:Maintaining clear communication with clients regarding legal matters.Providing legal advice on property-related issues.Demonstrating commitment to delivering high quality legal services
