The Opportunity:

Romspen is seeking a seasoned commercial real estate and corporate lawyer to join its in-house legal team. Reporting to the General Counsel, the successful candidate will work closely with, and provide support to, all business groups within the organization, with a primary emphasis on mortgage fundings in Canada and the US involving commercial properties and projects across all asset classes. Key Responsibilities:

Prepare and negotiate letters of intent, commitment letters and loan documentation

Primary point of contact for outside counsel and internal business groups in closing Canadian and US mortgage loan transactions

Review of legal due diligence materials

Loan administration, enforcement and litigation support

Some corporate secretarial duties

Required Education and Skills:

5+ years of experience in lender-side commercial mortgage financing

Member in good standing with Law Society of Ontario

Excellent communication, drafting, interpersonal and organizational skills

Self-starter with attention to detail and sound business acumen

Not Essential Experience but Would be Assets:

Mortgage enforcement/litigation

US transactions

Investment funds

Mortgage brokerage, securities law and anti-money laundering compliance

Some familiarity with Canadian and US tax and insolvency law
