About Our Client The client is a leading global investment management firm. As of December 2023, they had over 500 billion USD AUM. Job Description
- Review and negotiation of investment management agreements and related investment guidelines;
- Drafting and/or review of marketing materials including the creation and/or updating of Information Memorandums / PDS'/ TMDs and other fund offering documents for funds;
- Provide support and legal advice/counselling to all business units and internal clients on various matters;
- Review and/or negotiation of all vendor and other agreements, including lease agreements, terms of business, that are required for the day-to-day operation of the business;
- Conduct local board meetings serving as Company Secretary and preparation of board resolutions, minutes and other documents as may be required for sound corporate governance;
- Work closely with Australian Compliance (based in Melbourne) to ensure a positive regulatory and compliance environment. Ongoing projects include AML, FATCA, CRS, industry consultations;
- Provide advice to the firm's International Legal Group for doing business in or with Australia including the distribution of funds domiciled in Luxembourg;
- Monitor and provide advice with respect to changes in relevant laws, regulations and standards as necessary;
- Instructing and coordinating with external counsel; and
- The performance of certain administrative tasks and use of proprietary software and databases to track client documentation, approve client accounts for management, etc., in connection with the foregoing.
