Now Hiring - Corporate Actions Officer The Corporate Actions Officer (“CAO”) is responsible for the preparation and processing of client mandatory and voluntary corporate actions and reorganizations. These activities include plans of arrangements, amalgamations, rights offers, warrants, conversions, redemptions and depositaries. Key accountabilities:- Review, screen, batch, track and process Corporate Actions; namely plans of arrangements, depositaries, rights offers, warrants, conversions and redemptions.
- Review, screen, batch, track and process mandatory reorganizations, principally exchanges; prepare and distribute memos.
- Manage and administer all ongoing mandatory and voluntary corporate reorganization/event files ensuring that all expiry, payment dates, letters of transmittal and letters of guaranteed delivery are identified and the pertinent dates for submission of securities and receipt of payments are established. Perform proration calculations as required.
- Second review and audit of items processed within the department
- Adhere to time schedules and processing requirements.
- Populate tracking, reporting and cancellation/requisition files
- Track and report on corporate action tenders.
- Prepare reports for tenders received
- Review LTs, supporting documents, internal memos and other information.
- Research, analyze and resolve discrepancies promptly.
- Respond to Investor Services inquiries relating to Corporate Action entitlements and any other enquiries of a non-routine nature; this may involve extensive research of various kinds of current and historical records.
- Provide signed direction to other departments to release funds
- Calculate foreign exchange as required and present to Senior CAO for review
- Direct other departments to issue entitlements based on tenders received
- Liaise with CEDE & Co. and CDS for redemptions, conversions, warrant and rights exercises and depositary activity.
- Liaise with other TA for issuance and cancellation of securities; SAWDAC processing
- Ensure compliance with corporate AML policies on outbound funds
- Perform reconciliation to ensure current issued and outstanding shares agree to fund balances
- Detailed knowledge and understanding of the services offered by clients to their security holders and keeping up-to-date on circumstances which affect the security holders
- Maintain and provide monthly statistics for fee and performance reporting purposes.
- Assist with gathering annual tax data for other departments.
- Assist in CA testing of internal and external systems
- Ensure compliance with department policies and procedures
- Assist where necessary and/or directed in a BCP situation.
- Minimum 2 to 4 years of experience in a Trust or complex Reorganizations/Corporate Action and Entitlement processing environment
- Finance background plus a post-secondary degree
- A good understanding of Security Entitlement and Settlement Procedures, and the Canadian and US Depository Operations is highly recommended
- Excellent written and verbal communication skills
- Excellent analytical/accounting skills in order to accurately calculate and determine complex security features
- Excellent computer skills – MS Office Suite and Google Suite of products and other desktop applications [Strong proficiency with Excel is a key requirement]
- Judgement, attention to detail and accuracy are critical attributes to avoid financial loss
- High degree of professionalism, integrity and consistency.
- Ability to prioritize, multi-task and meet strict deadlines
- High level of attention to accuracy and detail required
- Ability to analyze, problem-solve and work independently with minimal supervision
- A willingness to learn and accept new challenges and be part of a dynamic team
- Able to work collectively within a team environment to maintain customer focus and achieve desired business results
