- Review, draft and negotiate commercial contracts, and corporate governance related documents.
- Advice local and foreign investment clients on the legalities pertaining to UAE company and foundation formation.
- Draft and negotiate contracts for shareholders, branches, partnerships, JVs, startups and non-compete and confidentiality agreements.
- Advice clients on matters related to legacy planning, wealth and asset structuring, Prescribed Scope Companies, ADGM SPVs.
- Co-ordinate and manage external lawyers for disputes, arbitration and litigation.
- New business development through networking and following up on leads.
- 8+ years’ PQE in corporate and commercial law with a minimum of 3 years’ UAE law firm experience in the UAE mainland company formation; establishing new businesses in the UAE for foundations, LLCs, foreign branch and representative offices.
- Strong experience in ADGM, DED, JAFZA, DIFC and DMCC company formation and related documentation including Power of Attorney, Memorandum of Association and Memorandum of Undertaking, NDAs, JVs, shareholder agreements, divestment, real estate contracts and company incorporation procedures.
