Our client is searching for a Law Clerk to join their dynamic team. Reporting to the General Counsel, the Law Clerk will execute a broad range of legal administration within the organization. This is an immediate opportunity located in the Burlington, Ontario area.SUMMAR OF RESPONSIBILITIES Provides support to the General Counsel and internal clients through responding to complex requests pertaining to corporate secretarial matters for the company and its subsidiaries.Drafts, revises, and reviews legal documentation such as memorandums, agreements, bylaws, organizational resolutions, and other documents.Assists with corporate and real estate due diligence matters to support corporate and/or real estate dispositions, acquisitions, financings, leasing and other related matters.Accountable for managing, organizing and maintaining files and records of corporate, real estate and/or commercial transactions.Manages and maintains corporate records including meeting materials, minute books, share registers, corporate database, notarial certificates, corporate changes, and routine annual matters.Prepares documentation to support intercompany transactions, post-closing transactions, and items pertaining to the formation and dissolution of entities.Oversees the preparation and filing of registrations both extra-provincial and territorial, including amendments, and annual returns.Performs corporate, real estate and Personal Property Security Act (PPSA) filings and searches.Develops transactional reports for private and institutional lenders, provides closing record books, follows up on post- closing matters, and opens bank accounts as required, and corresponds and follows up with external counsel.Other duties and responsibilities as assigned.CORE SKILLS & REQUIREMENTSA Law Clerk, Paralegal or Legal Assistant diploma is required.3 to 5 years of working experience as a Legal Assistant or Law Clerk is essential, with relevant experience in a law firm or an in-house legal department an asset.Working knowledge of provincial & federal corporate and partnership legislation.Working knowledge of real estate legislation and familiarity with real estate acquisitions, dispositions, financing and leasing.Understanding of securities regulatory framework and of private fund formation an asset.Understanding of mortgage broker and mortgage administrator regulatory framework an asset.Exceptional professionalism and interpersonal skills, capable of working in a collaborative environment as well as liaising with external parties.Highly organized, with excellent time management skills in adhering to strict deadlines.Ability to work with high degree of accuracy and attention to detail.Exceptional communication skills, both oral and written.Demonstrated ability to work tactfully, and exercise independent judgment as necessary.Driven to pursue ongoing professional development opportunities.Proven ability to uphold a high level of confidentiality when dealing with sensitive information.Agile and adaptable to continuous changes, in an environment of uncertainty.Advanced knowledge MS Office Suite including Word, Outlook and Excel and Adobe Acrobat required.Working knowledge of SEDI, EDGAR, SEDAR Teraview e-reg is an asset.#LawClerkRealEstateCorporate #LegalAssistantRealEstateCorporate Leasing Real Estate
