Senior Regulatory Compliance Officer

We are seeking a meticulous and well-versed Compliance Manager to manage end-to-end regulatory compliance activities for our operations. The role involves ensuring strict adherence to SEBI regulations, Companies Act provisions, and capital market transaction compliance.Key Responsibilities: Ensure compliance with all applicable SEBI Regulations.Handle statutory filings with SEBI, ROC, RBI, and stock exchanges.Monitor and interpret regulatory changes and implement required actions internally.Merchant Banking Transactions: Manage compliance aspects of IPOs, rights issues, open offers, buybacks, and delisting processes.Coordinate with internal teams and clients to ensure regulatory due diligence for capital market transactions.Prepare necessary disclosures, offer documents, and submission checklists for SEBI approvals.Statutory Filing & Documentation: Ensure timely filing of returns and forms with ROC/MCA and other regulatory bodies.Maintain records of regulatory submissions, approvals, and correspondence.Support statutory and regulatory audits and respond to audit queries.Conduct internal compliance checks to identify and mitigate non-compliance risks.Cross-Functional Coordination: Work closely with legal, operations, finance, and deal teams to embed compliance in business processes.Assist in developing and updating internal SOPs and compliance manuals.Qualifications: Bachelor's degree in Commerce, Law, or Finance; CS / CA / LLB / MBA (Finance) preferred.5+ years of experience in statutory and regulatory compliance, preferably in a SEBI-registered Merchant Banker.Strong knowledge of SEBI Regulations, Companies Act, FEMA, and RBI guidelines.Experience handling compliance in capital market transactions is a must.Proficient in drafting, documentation, and interpreting legal/regulatory clauses.Benefits: Fulfilling career opportunities in Risk Management and Compliance.Competitive salary and benefits package.Education UG: LLB in Law, B.Com in Commerce PG: CS in CS, MBA/PGDM in Finance, CA in CAWe at Naukrigulf.com only facilitate job seekers and employers meeting.
