Overview The Investment Stewardship (IS) function within Temasek is accountable for various aspects of the exercise of rights and responsibilities that come with owning securities in our investees. It involves engaging with the investee's management and board of directors on various issues that may affect the long-term value and performance of the company, such as strategy, governance, risk management, environmental, social, and governance (ESG) factors, and capital allocation. Responsibilities Develop and maintain Temasek's voting guidelines, policy, and platform Manage voting escalations and liaise with proxy advisors during various proxy voting seasons Manage the voting on shareholder proposals in accordance with our investment stewardship policies and guidelines and provide rationale for our voting decisions Conduct research, analysis and benchmarking on emerging governance and stewardship trends, best practices, risks, and opportunities and their implications for long-term value creation Monitor and advise on the compliance of our portfolio companies with applicable corporate governance standards and codes (including those maintained by exchanges) and identify areas for improvement or engagement Engage with internal stakeholders in Temasek (including investment groups and functional teams), company management and board members on issues and advocate for best practices and alignment with international standards and frameworks Collaborate with investment teams and other functions to integrate stewardship considerations into our investment process and strategy Prepare and deliver reports and presentations on our stewardship activities and outcomes to internal and external stakeholders Requirements A bachelor's degree in law, business, finance, or a related field A minimum of two years of experience in corporate governance, legal, compliance, or audit roles Experience in engagement with proxy advisors and deep understanding of the various. Prior experience in a stewardship or proxy advisory role would be advantageous Strong knowledge of the corporate governance laws, regulations, and standards in Singapore, EU, and the US and developments in these areas is preferred Excellent communication, presentation, and interpersonal skills Ability to work independently and collaboratively with various stakeholders #J-18808-Ljbffr
