Job Title : Head of Legal - AMEA Location: Amman, Jordan/ Saudi Arabia Join Linxon! The role is based in Jordan or Saudi Arabia, reporting to the Chief Legal Officer. The candidate (he/she) is required to have a minimum of 12 years’ experience working for a law firm or in an in-house position dealing with the construction and or utility industry, engineering or manufacturing. You will support the AMEA business unit in respect of legal and insurance matters relating to engineering, procurement, construction (EPC) projects, major procurements with clients, partners, sub-contractors and suppliers globally, including certain corporate secretarial matters. The selected candidate will be working closely with the AMEA management team, internal clients, engineers, technical teams and commercial management on all issues relevant to the Company for legal and contract management in AMEA. As the Senior Legal Managing Counsel, you will be responsible for ensuring that all commercial proposals/transactions are carried out in compliance with the Company’s policies and governance rules. What will you do?
- Research, advise, prepare, draft, review, comment and/or negotiate complex contractual documents and other relevant legal documentation for local or international EPC projects.
- Provide legal advice and opinions on risks and related commercial issues analysis.
- Liaise with insurance brokers and underwriters to review insurance policies for the Middle East in conjunction with the parent company insurance department in Montreal.
- Manage and administer the Middle East insurance portfolio, including but not limited to general liability, directors insurance, environmental coverage, professional indemnity, and construction all-risk policies.
- Manage a lawyer in India, who is in charge of the Asia-Pacific portfolio.
- Participate in the review and negotiation process of various tenders and contracts with clients and also have experience of negotiating and finalizing MOUs, NDAs, consortium agreements, joint ventures, subcontractors and suppliers.
- Provide inputs on legal and commercial issues along with mitigations in the Tenders and Contracts being bid by the corporation/company and present them before the Global Management Team.
- Liaise with other corporate functions (Tax, Treasury, Insurance, Company Secretary, Integrity) to ensure compliance with corporate governance requirements.
- Interpret laws, decrees and any other document of a legal nature, ensuring that the interests of the corporation are adequately protected.
- Participate in the application and follow up of the corporations’/company’s policies, procedures, and internal rules.
- Handle Secretarial compliances in close coordination with external consultants.
- Support country integrity officer in integrity matters, and integrity training of Linxon employees.
- Degree in Law from a reputable university.
- Member in good standing of a bar association, preferable but not mandatory.
- Excellent proficiency in Arabic and English, any other languages a plus; with excellent drafting skills and attention to detail.
- Sound commercial and business law background with a minimum of 10 years’ experience related to engineering, construction, manufacturing, utilities or other heavy industry including familiarity with all FIDIC books.
- Willing to travel occasionally to project sites and offices in the AMEA region.
- Ability to work as part of a small close-knit team, in a demanding, fast-paced, multilingual and multidisciplinary environment.
- A strategic communicator, self-motivated, with a commercial, practical, methodical, detail-oriented, flexible and dynamic approach.
- Working knowledge of engineering/construction industry contracting practices, applicable government and commercial regulations and practices, procedures and work practices.
- Ability to take initiative and apply both creativity and perseverance whilst remaining compliant with Linxon’s Code of Conduct.
- Ability to stay calm, even if unforeseen events threaten to disrupt the works.
- Business mindset to reach the project’s goals & business goals.
