Joint Ventures:Structure, negotiate, and execute joint venture agreements and strategic partnerships.Advise on legal aspects of joint venture formation, governance, and dissolution.Corporate Governance:Develop, implement, and enforce corporate governance policies and procedures to ensure compliance with ADGM regulations and international best practices.Provide counsel to senior management and board members on corporate governance matters, including director duties, shareholder rights, and corporate disclosures.Board Resolutions:Draft, review, and facilitate board resolutions, minutes, and corporate governance documentation.Ensure that board actions comply with legal requirements and corporate governance principles.Establishing Companies in ADGM:Oversee the process of establishing new companies within the ADGM jurisdiction, including drafting incorporation documents, shareholder agreements, and memoranda of association.Coordinate with external advisors and regulatory authorities to obtain necessary approvals and licenses.Legal Compliance:Stay updated on ADGM regulations, as well as legal developments in other relevant jurisdictions.Conduct legal research and analysis to assess compliance risks and implement appropriate mitigation strategies.Cross-Jurisdictional Expertise:Utilize expertise in ADGM regulations and familiarity with other jurisdictions to advise on cross-border transactions, international corporate structures, and legal implications of business expansion.
