Job Summary: The General Counsel is responsiblefor all legal services of the university and for the provision of legal supportrelated to policy matters impacting Academic Council, the Board of Governors,all sub-committees of the Board, the President's Office, the Office of the Provost,and Vice-President, Academic, and the executive leadership team. As a member in good standing in theLaw Society of Ontario, the General Counsel will work closely alongsideleadership partners with responsibility for both academic and administrativeplanning and operational objectives to deliver professional, reliable, andeffective legal advice to advance the mission and strategic priorities of theUniversity, while mitigating legal risks and overseeing compliance. Nature of work: Reporting directly to the President,and as part of an overall accountability that includes managing an internalteam of lawyers, the General Counsel will be relied upon for their diligence,expertise and direction with respect to assessing legal risks on mattersinvolving, but not limited to, business and commercial contracts, academicaffairs, intellectual property, human rights, employment and labour law, realestate and construction, privacy issues, governance, student issues andlegislative/regulatory concerns. Responsibilities/accountabilities: Expert and inclusive leadership as both an ambassador of the university, a member of the senior leadership team with significant profile both within and beyond the university campus, and as part of mentoring and directing the work of legal services at the university; a commitment to a university-first approach and an active sponsor for university initiatives that align across all four of our strategic priorities. Acts as a senior legal advisor to senior administrative leaders and executive group members including Universities committees and entities, as needed, in support of strategic and operational decision making. Ensure that legal advice is consistent with and considers applicable university policies, directives, guidelines, and other requirements. Responsible for management and oversight of partnerships with external law firms supporting the university through the provision of advice, risk assessment and counsel that is aligned with university objectives. Anticipate legal issues and concerns emerging from developing activities and outcomes in the post-secondary and public sectors, including legislative and regulatory changes that directly or indirectly affect the university's objectives, strategic priorities and/or operations. Demonstrates a commitment to understanding the full operation of the university and its programming to effectively contribute to decision-making through strategic and practical recommendations, and to develop effective working relationships with internal and external partners, industry leaders, and university counterparts. Leads and coordinates timely and appropriate briefings with executive leaders and leadership team on complex legal issues and sensitive matters that may present operational or reputational harm to the university. Contract management support by reviewing, drafting, and negotiating agreements and other legal documents in accordance with applicable policies and procedures. Compliance support by overseeing legal, contractual, and regulatory compliance and identifying emerging legal issues. Dispute resolution by reviewing matters, negotiating settlements, and providing tools and strategies for the effective resolution of disputes and complaints. Litigation support by advising and overseeing all legal demands, claims, and suits, selecting and managing external counsel, and representing the University at tribunal and court proceedings. Legal risk management by identifying legal risks and recommending mitigation strategies that will protect the University against liability and losses. Labour and employment support to Human Resources and other units by providing advice on employment matters, contracts, and grievances.
