AM- Legal Function Basic Function To assist the Legal Function. Should be capable of handling multiple legal assignments and ensuring minimization of legal risks to the organization. Meeting deadlines with minimum turnaround time in handling legal matters. Essential Functions
- Corporate Governance –
- assist in the management of corporate governance matters for legal entities, including, charter and by-law changes, maintenance of minute books, stock registers and current officer and director listings;
- Co-ordinate with external counsels and attorneys on Secretarial and Litigations matters, including physical presence for various court hearing on behalf of EXL and its affiliates, documentation and record keeping around the same (e.g. notarization of the documents, Court proceeding etc.)
- Maintain Corporate Data Sheets and the worldwide corporate database for all legal entities
- Familiarity with board platforms such as Diligent
- Special Projects
- Provide pragmatic, solution-focused legal advice including identification and mitigation of legal and other associated risks
- Support EXL lawyers in the strategy, management and protection of EXL’s entities
- Assist in the planning, administration and management of Legal Team corporate projects, including putting together Excel worksheets, PowerPoints, and other presentations
- Perform information searches concerning Company operations in response to RFIs/RFPs.
- Draft procedures, processes and other documentation to ensure optimal efficiency and productivity for the Legal Team
- Prioritize, organize and condense legal information or data to ensure effective knowledge sharing and reporting
- Develop and manage communication plans, where appropriate, to strengthen stakeholders relationships and assist in Legal Team and Company strategies
- Assist with board meeting presentations – research relevant and necessary topics/data to include in presentation deckTimely and high-quality delivery of projects which support achievement of the strategic objectives
- Achieve efficiencies and cost effectiveness where possible
- Maintain the highest professional standards and integrity
- Records Management –
- Custodian for all secretarial and Legal records
- Performing compliance check and ensure GRC reports timely submission
- Coordinate with internal clients and Contract Management System Team for maintaining robust contracts repository and sharing with required stakeholders, as needed
- B.A. or law degree
- Professional Legal qualification is desirable but not mandatory
- Professional demeanor in all situations. Ability to manage the demanding internal and external clients while retaining composure.
