This position undertakes key role of managing complete life cycle of contracts management commencing from drafting the contracts to vetting, negotiating (in particular, Business, Commercial, Digital Financial Services and Non-Procurement Contracts), ensuring adherence to company's policies, procedures and executing contracts. The position supports contractual negotiations with relevant functional domains and is responsible for closure of contractual negotiations in a timely manner.

The role is part of the Contracts and Claims Management Team within the Sourcing and SCM department and reports to Stream Head Contracts and Claims Management at Jazz.

What does Expert Contracts do?

Managing the overall contract administration from the point a request is initiated, the business case is approved till the point a contract is signed and executed in accordance with company policies and procedures.

Managing complete life cycle of contract management process using organization's online systems (currently Oracle and Ariba) and ensuring digitized repository of all contracts.

Develop standard contract templates in line with organizational and relevant functional domain needs and in compliance to all the prevailing policy and procedures.

Actively support functional domains in the contractual negotiations' forums / meetings with suppliers/business partners and liaison with all internal stakeholders for timely inputs

Liaises within organization with the relevant functional departments, Legal, Compliance and Tax for review of contracts for reviews and feedback.

Responsible for identification and escalations of contentious material clauses to the relevant stakeholders with recommendations to find resolutions in a timely manner; ensuring contract close-out within stipulated timeframes and the speed to market required by functional domains.

Serve as the point of contact for functional domain experts and providing guidance & interpretation on contractual/commercial matters and ensuring transparent internal coordination for mitigating all foreseeable and potential risks to business.

Support in negotiating contractual terms & conditions such as Incoterms, pricing (if required), quality, payment terms, delivery and lead times, liquidated damages, settlement of compensations/damages, Provision of performance bond (s)/sureties/guarantees, with the suppliers on all standard and non-standard contracts and provide recommendations and negotiate in collaboration with functional domains till consensus are reached.

Ensure 100% contractual compliance on matters such as Anti Bribery and Corruption provisions, Code of Conduct, Data Protection and Information Security and other policy matters.

Monitor functional domain satisfaction with contractual terms and conditions, speed to market, and overall contracting practices. Recommend process changes where necessary and support updation of standard contractual templates by understanding the changing dynamics of the business and needs.

Responsible for executing change control management by entering into and concluding any required amendments, addendums, change control notes, settlements etc as and when required.

Assist and support functional domains to resolves any contractual issues and disputes pertaining to the contracts and recommends appropriate and support settlements accordingly.

Emphasizes on compliance with organizational policies, frameworks and SLAs in pre-contracts, contract-execution and post-contract phases.

Ensure performance monitoring tools and mechanics are built into negotiated contracts; Ensures incorporation of appropriate SLAs, KPIs and claims mechanism in the contracts to safeguard company's best interest.

Requirements

What are we looking for and what does it require to be Expert Contracts?

We are looking for a Masters in relevant specializations/MBA/ with strong financial and business acumen with more than 5 years of experience in similar role preferably working for Digital/ IT /Telecom Industry predominantly in the domains of Business, Commercial, Digital divisions with experience leading Contracts Management. Bachelors/Masters in Law (LLB/LLM) would be an added advantage.

3-5 years' experience in dealing with business contracts (Cloud, Cybersecurity and IT Solutions, B2B, B2C, CMT, A2P, SaaS etc.), commercial contracts (VAS, Revenue Share, Digital Products, IOT solutions etc.), digital contracts (digital content, online streaming, AdTech etc.) is preferred.

Sound contractual knowledge around reselling business and its principles along with understanding of commercial and legal aspects related to cloud infrastructure solutions, streaming platforms, digital products and Fin-tech services etc.

Sound comprehension and drafting skills and is able to communicate freely.

Experience in managing global vendors.

Have signed and managed pre/post contract management function for large contracts end to end.

Understanding of the legal and financial/commercial principles required for the job.

Previously worked in global and multicultural environment.

Stake holder management experience of C Level Executives both at Vendors and Internal Organization.

Strong communication and presentation skills.

Problem solving & analytical skills.

Hands on experience using Software such as SAP (ARIBA)/Oracle R12 or Fusion experience at hand.

Proficient in MS Office (in particular, MS Word, Excel and Power Point);

Good understanding of Digital/IT solutions and architecture.
