India Legal Counsel

Job Objective:The Legal Counsel - India will serve a critical role in Nouryon's global legal group in support of the company's mission to deliver innovative and sustainable solutions that answer's society's needs - today and in the future. This all-round lawyer will work closely with Nouryon's India business team as well as members of the global legal department on a variety of legal matters core to achieving Nouryon's goals.At Nouryon, our global team of Changemakers takes positive action every day, to reach higher collectively and individually. We create innovative and sustainable solutions for our customers to answer society's needs - today and in the future.About the job (Job Responsibilities) :Drafting, reviewing and negotiating contracts related to our commercial sales, distribution, procurement, logistics, and other matters.Providing support regarding employment, litigation, and employment, health & safety matters impacting Nouryon's business and operations in India. Managing and providing corporate and corporate secretarial services for India-based legal entities.Assisting with compliance-related investigations and other compliance matters. Preparing and providing legal contracting and compliance trainings to the business and functional teams.Convene and service meetings, take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments.Maintaining Company statutory Registers as per Corporate Tax requirementsSubmission of financial Statements under the Companies Act, in XBRL formatHandling dividend related work and compliancesFEMA - Related compliancesLegal support for company's pension scheme trust and compliances thereof.Co-ordinate company CSR activities and compliancesManage and monitor company compliance monitoring tool.Co-ordination with statutory and internal auditors for secretarial and legal workThis role also requires a willingness to "pitch in" on areas of need in the Legal Department, even if they are outside the lawyer's core set of responsibilities, and on special projects as instructed by members of the global legal department. This position will report to one of the members of the global legal department based in Europe.This lawyer must be an accomplished lawyer and excellent business advisor and counselor who has the ability to work in a fast-paced environment, is a problem-solver and a self-starter who communicates firm and clearly, is responsive, engaged in the business, and proactive. S/he needs to act with a high level of independence, while safeguarding the Company's strategic objectives from a legal perspective.We believe you bring (Education & Experience) Strong academic credentials, including a L.L.B or equivalent from a well-respected India law university.Licensed to practice in India.5 to 10 years relevant working experience, with strong training at a law firm known for sophisticated and high-level corporate and commercial work. In-house experience is strongly preferred.Excellent contract drafting and negotiation skills along with solid sense of appropriate risk management in navigating complex operational issues. Knowledge of various legal topics such as corporate law, competition law, litigation, M&A and intellectual property law. Solid dispute resolution experience, solid command of antitrust principles.Required Skills:Team Player - ability to work well and build relationships across all levels of the organization and be highly effective and able to maximize the efficiency of the legal department; have the desire to work on numerous and varied matters arising in an in-house legal department.Results Oriented - action-oriented problem solver; commercially savvy and committed to getting into the details of a matter and handling it independently through to conclusion.Intellectually Curious - Driven to learn, with a "can do" attitude and a strong desire to continue to grow and professionally develop in numerous different legal areas. Focused on improving the Company's service, products and processes, with ability to drive continuous improvement.Business Focus - business-orientation with the ability to drive innovative solutions and strategies in a fast-paced environment, and to appropriately balance risk with the need for the business to take action.Communicator - excellent communication and presentation skills, capability to scale support across a large organization and multiple jurisdictions.Outstanding legal reasoning and analysis and strategic thinking ability. Analytical and creative, with proven good judgment.
